#10: Life Sciences Investor Road Shows - San Diego, San Francisco

On December 14th and 15th, S. Jordan Associates (SJA), a Chicago-based healthcare investment bank and Toscana Ventures, a San Diego-based BioPharm Business Development Consultancy, hosted Life Sciences Investor Road Shows in San Diego and San Francisco. Over 40 investors including C-Level Executives, Angels, and Venture Capitalists participated in scientific presentations from leading emerging growth biotechnology companies: Neumedicines, Eleison Pharmaceuticals, and RetinoRx.

Increasingly, private emerging growth biotechnology companies are seeking investments from “Retail” investors (~high-net worth, Angels) to fund pre/clinical drug development given modest levels of Venture Capital investment activity in the sector, and newly passed legislation relaxing the restrictions involving raising capital from “Accredited Investors.”

During the San Diego Road Show, David Charapp - Duane Morris, presented on the “Entrepreneur Access to Capital Act” and “Democratizing Access to Capital Act of 2011” which provide exemptions for raising capital from “Accredited Investors” ( “Crowdsourcing” – investors who pool capital usually via the Internet to fund privately owned companies). David also presented information on the “Access to Capital for Job Creators Act” that removes the prohibitions on general solicitation from Rule 506 under Reg D (unlimited amount and number of Accredited Investors ~ previously 500).
